2020 HOA Annual Meeting
On June 14, 1998, our developer KEJ, Inc., filed for incorporation of The Springs at High Rock, HOA. Once incorporated, we became subject to the NC General Statutes for Not-For-Profit Corporations (GS 55A). Article 55A-8-04 of those statutes mandates that a meeting open to all members be held annually and the date advertised by a letter sent via US Postal Service. The 2020 HOA Annual Meeting will be held on January 25, 2020, at the Southmont Fire Station, and the announcement letter mailed December 18, 2019.
55A-8-04 mandates that we elect our designated number of directors for the coming year at the annual meeting (our bylaws chose to have 5). If the 2020 budget varies by more than 15%, we must vote on that also. There is always some confusion about what can be voted upon if there is not a quorum (30% of members in good standing or their proxy). If we have a quorum, any business can be entertained; if not, only the election of directors and, if necessary, the budget.
Any member in good standing can become a candidate for election. Members of your current board, if they wish to continue as a director, must also stand for reelection. Our president, Tony Freeman, will be retiring this year after many years of service. So, there will be at least one vacancy to fill and possibly more. There are a couple of ways to become a candidate for election. A candidate’s profile can be found on the Downloads page of our website. Filling this out will give you a chance to list your qualifications and have your name on the ballot given out at the meeting. The candidate’s profile should be sent to the Cedar Management Group. If you don’t wish to fill out a profile, you may send an email to Cedar Management Group asking to be put on the ballot. Both the candidate profiles and the names of those on the ballot without profiles will be posted on our website. A third way to run for election would be for either you or a neighbor, if you are not present, to announce your candidacy from the floor at the annual meeting.
